1. Acceptance of Terms

These Terms & Conditions (“Terms”) form a legal agreement between Gossips Marketing (“we,” “us,” or “our”) and the user or client (“you” or “your”).
By using our website or engaging any of our digital marketing, web development, or advertising services, you acknowledge that you have read, understood, and agreed to these Terms.

2. Services We Provide

Gossips Marketing offers a wide range of digital services, including:

Website Design & Development
SEO (Search Engine Optimization)
SMO (Social Media Optimization)
CRM Implementation & Setup
Meta Ads Management
Google Ads Management
Pinterest Ads
Multi-Channel Advertising
Branding, Analytics, Consultation, CRO, and more

Service details, deliverables, and timelines are defined in the respective Scope of Work (SOW) or proposal shared with you.

3. Scope of Work

3.1 Project Requirements

To begin any project, the Client must provide accurate and timely:

Business details
Access credentials (website, hosting, social platforms, ad accounts, CRM)
Content, branding elements, and creative materials
Project goals and KPIs

Delays in providing these requirements will directly affect project timelines.

3.2 Project Changes

Any change outside the agreed scope will be considered an additional service and billed separately.

4. Client Responsibilities

By using our services, the Client agrees to:

Provide accurate information and timely approvals
Supply content, creatives, and required assets
Ensure all materials are original and legally compliant
Maintain clear communication
Provide full access to relevant accounts and platforms

Gossips Marketing is not responsible for delays caused by incomplete submissions or communication gaps.

5. Payment Terms

Fees for services will be outlined in the quotation or SOW.
All invoices must be paid within 30 days unless otherwise specified.
Deposits or advance payments are non-refundable.
Media/ad spend (Google, Meta, Pinterest, etc.) is separate from service/management fees.
Late payments may result in paused work or interest charges.

Renewals for monthly or recurring services will automatically continue unless cancelled at least 30 days prior.

6. Intellectual Property Rights

Upon full payment, the Client owns the final deliverables created specifically for them.
Gossips Marketing retains rights to internal tools, methods, processes, and pre-existing assets.
Third-party licenses (plugins, themes, software, CRM tools, etc.) remain bound by their respective terms.
We may showcase completed work in our portfolio with Client consent.

7. Website Development Terms

For development-related projects:

Client is responsible for hosting, domain renewal, and third-party subscriptions.
Content must be submitted by the Client.
Maintenance or post-launch support requires a separate plan.
We are not responsible for uptime, hosting errors, or third-party failures.

8. SEO Terms

Search engine results depend on many external factors.
Therefore, Gossips Marketing does not guarantee:

Specific keyword rankings
First-page results
Traffic volume
Lead or sales numbers

We ensure efforts, best practices, and professional-quality work, but outcomes depend on algorithm updates, competition, and website quality.

9. Advertising Campaign Terms

For Google Ads, Meta Ads, Pinterest Ads, and other paid ads:

Gossips Marketing manages and optimizes campaigns.
The Client is responsible for all ad spend charges.
No assurances of ROI, conversions, or guaranteed performance can be made.
Ad platforms may reject or restrict ads at their discretion.

10. Social Media Terms

Our social media services include:

Content creation
Posting
Engagement
Branding support

However, we do not guarantee follower growth, reach, or engagement metrics due to fluctuating platform algorithms.

11. CRM Services

CRM services may include:

Setup and customization
Migration
Integration
Training

The Client is responsible for CRM subscription costs.
Support timelines follow the SLA defined in the SOW.

12. Termination Policy

Either party may terminate the agreement with prior written notice as defined in the SOW.
Upon termination:

All outstanding payments must be cleared.
Work completed until the date of termination will be billed.
No refunds will be issued for completed services or time invested.

13. Disclaimer of Warranties

All services are provided on an “as-is” basis.
Gossips Marketing does not guarantee:

Uninterrupted service
Error-free performance
Guaranteed outcomes or rankings
Business results, leads, or sales

Performance may vary based on many external factors outside our control.

14. Limitation of Liability

Gossips Marketing shall not be liable for:

Loss of profits
Loss of data
Website downtime
Third-party platform issues
Indirect or consequential damages

Our total liability will not exceed the amount paid by the Client for the services in the last 12 months.

15. Indemnification

The Client agrees to indemnify Gossips Marketing from any claims arising from:

Client content
Misuse of services
Violations of third-party rights
Illegal activities conducted via the Client’s platforms

Gossips Marketing indemnifies the Client only for claims arising from our original work.

16. Confidentiality

Both parties agree to protect confidential information shared during the project.
Portfolio use of work will only be done with Client approval.

17. Independent Contractor

Gossips Marketing operates as an independent contractor.
No employer-employee or partnership relationship is created.

18. Non-Solicitation

Clients may not directly hire or solicit Gossips Marketing’s team members for at least 6 months after project completion.

19. Data Protection

We follow applicable data protection laws, including GDPR and India’s Digital Personal Data Protection Act (DPDPA).

20. Updates to Terms

We may update these Terms periodically.
Continued use of our services indicates acceptance of updated Terms.

21. Governing Law

These Terms are governed by the laws of India.
